1. About these Terms

These Terms of Service (the “Terms”) govern your use of Afri Nexus AI (“Afri Nexus”, “we”, “us”), including the websites afri-nexus.io and api.afri-nexus.io, the console, the API, the Model Square, Image Studio, Video Studio and the workflow tools (together, the “Service”).

By creating an account, ticking the consent box at registration or using the Service, you agree to these Terms, to our Privacy Policy and to our Refund Policy, which form part of these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or another organisation, you confirm that you are authorised to accept these Terms for it, and “you” includes that organisation.

2. The Service

Afri Nexus gives you one account, one prepaid balance and one API key format to use AI models for text, image and video generation. These models are developed and operated by third-party providers: we route your requests to them and return their responses. We do not develop the underlying models.

The models available, their capabilities and their prices change over time. The current list and prices are published on the Model Square.

3. Your account

• You must be at least 18 years old, or the age of majority where you live if it is higher, to create an account.
• Give accurate information, including a valid email address that you control. We verify it when you register and use it for security and service messages.
• One account per person or organisation unless we agree otherwise. Do not create accounts to abuse promotions or to get around a suspension.
• Keep your password and API keys confidential. You are responsible for all activity and charges under your account and your keys, including use by anyone you share a key with. If you think a key has leaked, delete or disable it in the console straight away and tell us.

4. Prepaid balance, prices and billing

• The Service is prepaid and pay-as-you-go; there is no subscription. Your balance is shown in US dollars.
• Each request is charged to your balance at the price published on the Model Square at the time of the request, adjusted by the group of the key you use, based on the usage reported for that request (for example tokens, images, seconds or resolution of video).
• Prices are shown before tax. Taxes and any bank, card, mobile-money or transfer fees on your side are yours to pay.
• We may change prices at any time. A new price applies only to requests made after it is published, never retroactively.
• Your balance is not a bank deposit, earns no interest, cannot be moved to another account and cannot be exchanged for cash except as set out in the Refund Policy.
• Promotional credit (sign-up bonuses, gifts, promotional redeem codes) has no cash value and may have its own conditions or expiry date.
• When your balance or a key’s spending limit runs out, requests are refused until you top up or raise the limit.
• If you think you were charged incorrectly, tell us within 30 days of the charge (see the Refund Policy).

5. Acceptable use

Use the Service lawfully and in line with the usage policies of the providers whose models you call. You must not use the Service to:

• generate, store or share any sexual content involving minors or any content that sexualises minors. We report such content to the competent authorities;
• create sexual or intimate content showing a real, identifiable person without that person’s consent, or deceptive deepfakes of real people;
• harass, threaten, defame or discriminate against anyone, or promote violence or terrorism;
• develop malware, attack or probe systems without permission, or obtain instructions for weapons capable of mass casualties;
• commit fraud, phishing, spam or impersonation, or pass off AI-generated content as human-made where the law requires disclosure;
• infringe the intellectual property, privacy or other rights of others, or process personal data without a lawful basis;
• get around billing, rate limits, content filters or security measures, reverse engineer or overload the Service, or access it other than through the interfaces we provide;
• resell, sublicense or share your account or raw API access as a competing service without our written agreement.

You may build your own products on top of the Service and serve your own users. You remain responsible for their use, and you must give them terms that protect us and the model providers at least as much as these Terms.

6. Mature content

Some models available through the Service can produce mature or adult content. Such content may only be requested by adults, where it is lawful in your country and in your users’ countries, and it may only show fictional or consenting adults. If your product lets end users request mature content, you must check that they are adults and comply with the law that applies to them. The prohibitions in section 5 apply without exception.

7. Your content and outputs

• “Input” means the prompts, text, images, videos and files you submit; “Output” means what the models return. Together they are your “Content”.
• You keep the rights you hold in your Input. As between you and us, and to the extent allowed by law and by the model provider’s terms, you own the Output. We claim no ownership of your Content.
• You allow us to host, transmit and process your Content only as needed to provide the Service (including sending it to the model provider you chose), to keep it secure and to comply with the law.
• We do not use your Content to train AI models. How model providers handle it is explained in the Privacy Policy.
• Output is produced by machine learning. It can be wrong or offensive, can resemble output given to other users and may not be protected by intellectual property rights in some countries. Review it before you rely on it or publish it, and do not use it as the only basis for decisions with legal, medical, financial or similarly significant effects on people.
• Generated images and videos may only be downloadable for a limited time. Keep your own copy.

8. Third-party models and services

The models are provided by third parties. Their availability, behaviour and quality are outside our control, and a provider may change, limit or withdraw a model at any time. Your use of a model may also be subject to that provider’s terms and usage policies. Links to third-party websites are given for convenience only.

9. Availability and changes

We work to keep the Service available and fast but do not promise that it will be uninterrupted or error-free. We may carry out maintenance and add, change or remove features or models. Where practical, we give reasonable notice of important changes. Requests that fail before a model returns a result are normally not charged; if one is, the Refund Policy explains how we correct it.

10. Suspension and closure

• You can stop using the Service and ask us to close your account at any time by writing to [email protected]. Unused balance is handled under the Refund Policy.
• We may suspend or close an account, disable keys or refuse a request, with or without notice, if we reasonably believe you have broken these Terms, if your use creates risk or legal exposure for us, other users or model providers, or if the law or a provider requires it. In serious cases such as fraud or the content forbidden in section 5, the balance on the account may be withheld to the extent the law allows.
• Provisions that by their nature should continue (payment obligations, content, disclaimers, liability, governing law) survive the closure of your account.

11. Disclaimers

To the extent allowed by law, the Service and all Output are provided “as is” and “as available”, without any warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

12. Limitation of liability

To the extent allowed by law: (a) we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill; and (b) our total liability for all claims relating to the Service is limited to the amount you paid us in the three (3) months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, or rights you have as a consumer under mandatory law.

13. Indemnity

You will defend and indemnify Afri Nexus against claims, damages and costs (including reasonable legal fees) arising from your Content, your use of the Service, your end users’ use of it, or your breach of these Terms or of the law.

14. Changes to these Terms

We may update these Terms. We will publish the new version on this page with a new date and, for important changes, tell you by email or in the console at least 7 days before they take effect, unless a change is required sooner by law or for security. If you keep using the Service after the changes take effect, you accept them; if you do not agree, you must stop using the Service.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Madagascar. Before going to court, please contact us at [email protected] so that we can try to settle the matter amicably within 30 days. Disputes that cannot be settled amicably are submitted to the competent courts of Antananarivo, Madagascar, unless mandatory law gives you the right to bring proceedings in your country of residence.

16. General

If a provision of these Terms is found invalid, the rest stays in force. Not enforcing a provision is not a waiver of it. You may not transfer these Terms without our consent; we may transfer them as part of a reorganisation or sale of our business. These Terms exist in English and French; if the two versions differ, the English version prevails.
